CHALLENGE DESCRIPTION:
The Dream Bike Challenge by The Pro’s Closet (the “Challenge”) is sponsored by The Pro’s Closet Inc (“Pro’s Closet”). The Challenge starts October 1, 2021, at 12:00 AM Pacific Time and ends October 22, 2021 at 11:59 PM Pacific Time (the “Challenge Period”). Each participant who completes the Challenge will receive a Prize. On or about November 10, 2021, a drawing for the Grand Prize (“Drawing”) will be conducted and 1 potential winner will be selected. All entries for the Drawing must be received by 11:59 PM Pacific Time on November 5, 2021 (“Entry Deadline”). Pro’s Closet’s method of timekeeping is the official time clock for the Challenge and is final and undisputable. ELIGIBILITY: To be eligible to enter, you must be (a) a registered Strava user categorized as a cyclist or multi-sport athlete, (b) a legal resident of the United States or the District of Columbia, and (c) be at least eighteen (18) years of age at the time of entry. VOID WHERE PROHIBITED BY LAW. The following individuals are NOT eligible to enter or win Prizes: any person who is an employee, officer or director and any immediate family member of Pro’s Closet. Residents of New York or Florida are NOT eligible to participate in the Drawing.

HOW TO ENTER:
To participate, you must (1) register as an account user with Strava, Inc. and (2) participate in the Challenge, by logging ten (10) hours total of eligible activities on Strava during the Challenge Period. Eligible activities are Handcycle, Ride, Virtual Ride, and E-bike. To count towards your total Challenge hours, all rides must be logged on Strava by October 25, 2021. All logged rides must be completed by the person entering the Challenge. Entrants who do not provide their correct details will be disqualified at Pro’s Closet’s discretion. Each eligible participant who successfully completes the Challenge activities and logs ten (10) hours on Strava by October 25, 2021 (“Log Deadline”), will have an opportunity to submit an entry into the Drawing for the Grand Prize. ENTRIES INTO THE DRAWING MUST BE RECEIVED BY THE ENTRY DEADLINE TO BE ELIGIBLE. LIMIT ONE (1) ENTRY PER PERSON. Any attempt to enter more than once by using multiple/different accounts, email addresses, identities, registrations and logins, or any other methods will void such entries and that entrant may be disqualified. Normal time, toll, connection and usage rates, if any, charged by your Internet service provider will apply. No other means of transmission or delivery will be accepted. Late, incomplete or misdirected entries will be declared void and will be ineligible to win. PRIZES: Each eligible participant who successfully completes the Challenge activities and logs ten (10) hours on Strava by the Log Deadline will receive a Pro’s Closet coupon (“Coupon”) in the amount of $100.00 to be applied to any purchase of $1,000.00 or more in a single order (each, a “Prize”). The Coupon is valid between 10/1/2021 and 12/31/2021. The Coupon may not be combined with any other discount or offer, and is limited to one use per customer. The Coupon is non-transferable, is not redeemable for cash, and cannot be resold. The Coupon is applied to the order subtotal and is not applied to taxes, shipping, and other fees associated with any order. Certain brand, product, style, size and color exclusions may apply; you can learn more about these specific exclusions by contacting Pro’s Closet at https://support.theproscloset.com/hc/en-us. To redeem the Coupon, entrants must sign-up for Pro’s Closet email by entering their full name, address, email, and Strava profile handle on a The Pro’s Closet landing page. Subscribers can unsubscribe after receiving their Coupon and still use their Coupon. There will one (1) grand prize awarded in the form of a Pro’s Closet coupon for UP TO $5,000.00 to be used towards the purchase of any bike on the Pro’s Closet website (the “Grand Prize”). If the purchase price of the selected bike is less than $5,000.00, the Winner forfeits the difference between the purchase price of the bike and $5,000.00. DRAWING: On or about November 10, 2021, Pro’s Closet will conduct a Drawing and randomly select one (1) entry from among all eligible entries received. The odds of winning depend on the total number of eligible entries received. The selected entrant will, subject to verification of eligibility and compliance with these Official Rules, be eligible to win the Grand Prize.

AWARDING OF PRIZES:
Entrants who successfully complete the Challenge activities and logs ten (10) hours on Strava by the Log Deadline will be notified by Strava and provided a link to a Challenge landing page hosted by Pro’s Closet to register and claim their Prize. The potential winner of the Grand Prize will be contacted by email with instructions on how to claim the Grand Prize. The potential winner must follow such instructions and submit his or her required information within seventy-two (72) hours of notification. For purposes of these Official Rules, after submitting his/her required information, the potential winner shall become the winner (“Winner”). If the potential winner is found to be ineligible or not in compliance with these Official Rules or declines to accept the Grand Prize, or if Pro’s Closet is unable to contact such person within a reasonable period, or in the event that the notification is returned undeliverable, the Grand Prize will be forfeited and, at Pro’s Closet’s sole discretion, the Grand Prize may be awarded to an alternate entrant selected at random. The potential winner may be required to furnish proof of identification to determine eligibility. Before being declared the official Winner, the potential winner may be required to execute and return a Declaration or Affidavit of Eligibility/Liability Publicity Release and a W9 form no later than ten (10) business days after the time such forms are postmarked as having been sent by Pro’s Closet or the potential winner will forfeit the Grand Prize. Prizes may not be transferred or redeemed for cash (except to the extent required by applicable law) and must be accepted as awarded, with no substitutions of any kind, except substitutions made by Pro’s Closet, who reserves the right, in its sole discretion, to substitute a Prize or Grand Prize (or portion thereof) with one of comparable or greater value. All federal, state, and local taxes, as well as any other costs and expenses associated with Prize acceptance and use are the Winner’s responsibility. By accepting a Prize or the Grand Prize, a participant consents to use of his/her name, address (city and state/province of residence), voice, and statements relating to the Challenge or Pro’s Closet, and photographs or other likeness, without further compensation, notification or permission in any publicity or advertising carried out by Pro’s Closet or any related entities in any media without territorial or time limitation, except where prohibited by law.

CONDITIONS OF ENTRY:
By entering, you (i) acknowledge compliance with these Official Rules including all eligibility requirements, (ii) warrant that any information you provide in connection with this Challenge is true and accurate, and (iii) agree to be bound by the decisions of Pro’s Closet which shall be final and binding in all matters relating to this Challenge. Entrants who have not complied with these Official Rules are subject to disqualification and all associated entries will be void. Pro’s Closet reserves the right to disqualify any entrant’s registration in the Challenge (and void all associated entries) or entitlement to a prize, if, in the sole discretion of Pro’s Closet, it determines or suspects that the entrant has attempted to undermine the legitimate operation of the Challenge. If a dispute arises regarding who submitted an online entry, the entry will be deemed to be submitted by the authorized account holder of the email address provided at time of entry and he/she must comply with these Official Rules. “Authorized account holder” is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted email address. As a condition of entering, you agree: (i) to release Strava and Pro’s Closet from any and all liability, loss or damage incurred with respect to participating in the Challenge or the awarding, receipt, possession, and/or use or misuse of a prize; (ii) that under no circumstances will you be permitted to obtain awards for, and you hereby waive all rights to claim, punitive, incidental, consequential, or any other damages (other than for actual out-of-pocket expenses) from Strava or Pro’s Closet; (iii) all causes of action arising out of or connected with this Challenge or a prize awarded shall be resolved individually, without resort to any form of class action; and (iv) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, and in no event will you be entitled to receive attorneys’ fees or court costs. Some jurisdictions may not allow certain limitations on damages or the ability to seek damages through a class action, so some of these restrictions may not apply to you. Pro’s Closet reserves the right in its sole discretion to cancel, modify or suspend this Challenge at any time, with or without notice, for any reason or no reason, including if fraud, technical failures (including any network server or hardware failure), viruses, bugs, errors in programming, or any other causes corrupt the administration, security or integrity of the Challenge. In the event of cancellation, Pro’s Closet reserves the right to select potential winners from among all eligible, non-suspect entries received up to the time of such cancellation. Neither Pro’s Closet nor Strava warrants that access to the Challenge will be uninterrupted. Pro’s Closet and Strava are not responsible for, and you hereby waive any claim arising from, any problems that may arise, including, without limitation: (i) inaccessible or unavailable networks, websites, or other connection or accessibility problems; (ii) failed, delayed or misdirected communications, including any lost, late, stolen, incomplete, illegible or undelivered entries; (iii) technical malfunctions, printing, clerical, or other errors in connection with the administration of the Challenge or the offering or announcement of the prizes; (iv) the incorrect or inaccurate capture of information, or the failure to capture any information in connection with the Challenge; (v) damage to a user’s system occasioned by participation in this Challenge; or (vi) any other errors of any kind relating to or in connection with the Challenge.

GENERAL TERMS:
Any attempt by an entrant or other individual to deliberately damage any website or undermine the legitimate operation of this Challenge, including but not limited to any fraudulent claims, is a violation of criminal and civil laws. Should any such an attempt be made, Pro’s Closet reserves the right to seek remedies and damages (including attorneys’ fees) from any such individual, to the fullest extent permitted by law, including criminal prosecution. Any entrant engaging in any of the foregoing activities may be disqualified (and his/her entry will be void). This Challenge is subject to all applicable federal, state, and local laws. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant and Pro’s Closet in connection with the Challenge, shall be governed by, and construed in accordance with, the substantive laws of the State of Colorado, without regard to conflicts of law principles. All entrants consent to the jurisdiction and venue of the Federal, state and local courts of Colorado. In the event of any conflict with any Challenge details contained in these Official Rules and Challenge details contained in other Challenge materials (including, without limitation, any point of sale, online or print advertising), the details of the Challenge as set forth in these Official Rules shall prevail. The Challenge is sponsored by Pro’s Closet. Pro’s Closet’s employees are not authorized to waive, modify or amend any provision or provisions of these Official Rules in any manner whatsoever. All questions, comments or complaints regarding this Challenge must be submitted in writing either via email to challenge@theproscloset.com or in writing to The Pro's Closet, 1900 Taylor Avenue, Louisville, CO 80027. You may obtain a list of the winners by sending a self-addressed postage stamped (unless prohibited by state law) envelope to: The Pro's Closet, attn. Winners List, 1900 Taylor Avenue, Louisville, CO 80027. The list of winners List will be sent within a reasonable time after the prizes have been awarded. Personal information collected from entrants will be used by Pro’s Closet and its authorized agents to administer this Challenge and to fulfill the prizes, in accordance with Pro’s Closet’s Privacy Policy at https://www.theproscloset.com/pages/privacy-policy, and as you otherwise consent.
